Terms of Service

These terms govern the relationship between you (the "Client") and AI Marketing Services. They are designed to be fair, transparent, and compliant with global business standards.

1. Service Engagement

By engaging AI Marketing Services ("we," "us"), you agree to these terms. A specific scope of work, timeline, and fee structure will be defined in a separate Proposal or Statement of Work (SOW). In case of a conflict, the SOW prevails.

2. Our Services

We provide digital marketing and AI automation services, including but not limited to:

  • Performance Marketing: Google Ads, Meta Ads, LinkedIn Ads management.
  • Search Engine Optimization (SEO): Technical, Content, and Authority building.
  • AI Automation: Chatbot development, CRM integrations, and workflow automation.
  • Content Production: Generative AI content, editing, and strategy.

3. International Payments & Billing

  • Currencies: We accept payments in USD, GBP, EUR, AED, and INR.
  • Gateways: Payments are processed via Stripe, Wise, or Bank Transfer.
  • Taxes: For clients in India, 18% GST is applicable. International clients are generally exempt from GST under export of services rules (LUT), subject to verification.
  • Late Fees: Invoices are due upon receipt. We reserve the right to pause work if invoices remain unpaid for more than 7 days.

4. Intellectual Property (AI & Deliverables)

We believe in fair ownership:

  • Client Ownership: You own the final deliverables (designs, reports, code, content) once full payment is made.
  • Our Ownership: We retain ownership of our proprietary methodologies, pre-existing code libraries, and generic AI prompts used to generate the work.
  • AI Content: You acknowledge that content generated via AI tools (e.g., ChatGPT, Midjourney) may not be copyrightable in certain jurisdictions (like the USA). We transfer whatever rights we have to you.

5. Client Responsibilities

To ensure success, you agree to:

  • Provide access to necessary accounts (GA4, Google Ads, Hosting) in a timely manner.
  • Ensure you have the legal right to use any text, images, or data you provide to us.
  • Review all AI-generated content for accuracy before publishing, especially in regulated industries (Finance, Health, Law).

6. Third-Party Costs

Our fees do not include advertising spend (paid directly to Google/Meta) or software subscriptions (HubSpot, Zapier, OpenAI API costs). These are billed directly to you by the respective platforms.

7. Confidentiality & NDAs

We respect your trade secrets. We are happy to sign a Non-Disclosure Agreement (NDA) before project commencement. We strictly segregate client data and do not use your proprietary data to train public AI models.

8. Limitation of Liability

No Guarantee of Results: Marketing algorithms (Google, Meta) change frequently. While we use industry best practices, we cannot guarantee specific rankings, traffic numbers, or ROAS.

Liability Cap: To the maximum extent permitted by law, our total liability for any claim related to our services is limited to the fees paid by you to us in the three (3) months preceding the claim.

9. Cancellation & Refunds

  • Retainers: Monthly services can be cancelled with a 30-day written notice.
  • Projects: One-time projects are non-refundable once work has commenced and milestones are met.

10. Governing Law & Dispute Resolution

Amicable Resolution: In the event of a dispute, both parties agree to attempt to resolve it through good-faith negotiation for 30 days.

Jurisdiction: These terms are governed by the laws of India. Any legal proceedings shall take place in the courts of Rajasthan, India.
